The software listed on our site (Software) are Sparx Systems Enterprise Architect tools that have been designed by various software developers.

Our site allows you (in relation to some Software) to purchase Software from us. If you purchase Software from our site, you will receive a licence key which is a non-exclusive, non-transferable licence to use the Software plus access to download the Software. In relation to other Software, our site acts as a marketplace, and enables you to navigate to websites provided by software developers, and purchase Software directly from them.

Our site contains a dedicated password controlled area for our reseller network. This area must not be accessed unless you are an authorised member of the reseller network. We will not process orders from any person, firm or organisation that is not an authorised reseller of the Company.

(b)          In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.

You warrant that any such contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty.  If you are a consumer user, this means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

21.          Purchasing software directly from a software developer  

 

If you follow links on our site to a website provided by a software developer (Seller), and purchase software from that website, the following terms shall also apply:

(a)        If you make a purchase, the Seller whose software you have purchased will be obliged to provide the software to you. You agree that we have no obligation to provide the software or ensure that a Seller completes a transaction with you.

(b)        The Seller’s own terms and conditions will apply to any purchase of their software that you make.

(c)        If any dispute arises between you and a Seller, you must speak with the Seller directly to attempt to resolve it. We are not obliged to mediate between you and the Seller or to take steps enforce or execute any contract.

(d)        You acknowledge that you do not rely on any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these terms.

(e)        We will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the Seller’s software for any loss you suffer in respect of that software, including any:

(i)         loss of profits, sales, business, or revenue;

(ii)        loss or corruption of data, information or Software;

(iii)       loss of business opportunity;

(iv)       loss of anticipated savings;

(v)        loss of goodwill; or

(vi)       indirect or consequential loss.

 (f)       Except as expressly stated in these terms, we do not give any representation, warranties or undertakings in relation to the Seller’s software.  Any representation, condition or warranty which might be implied or incorporated into these terms by statute, common law or otherwise is excluded to the fullest extent permitted by law. In particular, we will not be responsible for the accuracy of the information provided about the Seller’s software, its performance, functionality, compatibility or ensuring that the Seller’s software is fit and/or suitable for your purposes.
